Terms And Conditions for Studio Rental

WHEREAS, you have contracted with Brookfield Products, Inc. (dba: “Motion Source Studio”) to rent the studio located at 8928 Fairview Avenue, Brookfield, IL 60513 (“studio”), including the use of parking spaces at said address; and WHEREAS, by so contracting you agree to abide by the below terms and conditions (“terms”), it is hereby acknowledged, understood, and agreed:

1. Acceptance. These terms shall be deemed binding upon any and all clients contracting the Motion Source studio, whether said contract be signed physically or electronically, and should said contract be signed electronically it will be given the full force and legal effect of a handwritten signature. A copy of this agreement shall be provided to the client upon request.

2. Insurance Requirements

a. Proof Of Insurance. Before Motion Source Studio tenders access to the studio, you must provide a current and valid certificate of insurance demonstrating general liability insurance of at least $1 million, or in an amount meeting or exceeding that provided by the Insurance Services Office Form CG0001 (11-88) naming Motion Source Studio as additionally insured and the loss payee on said certificate.

b. Amount. Coverage must have a minimum limit equal to the total replacement value of all equipment used in the production/project. The coverage must be provided on “all risk” or “Special” form and pay on the basis of “replacement cost.” The policy “coverage territory” shall include the studio, the surrounding facilities and property, and any location consistent with the location of production.

c. Worker’s Compensation. Worker’s Compensation insurance is required for all staff or crew members hired by you and must be active during the duration of the rental period.

3. Payment. Upon execution of this agreement, you agree to pay the full amount of Motion Source Studio’s rental fee to confirm your appointment. All payments must be rendered no less than 48 hours in advance of your designated rental start time.

4. Rates. You are contracting Motion Source Studio for a studio rental over the course of one (1) prorated day, up to twelve (12) hours. The day is billed at the rate of

$125/hour, or $900 for 8 hours, including the use of the Kino Grid lights. Overtime beyond eight (8) hours will result in an hourly rate of $150/hour.

5. Limitation Of Liability. Motion Source Source is not responsible for any lost, stolen, or damaged property belonging to you, your agents, assignees, or successors in interest.

6. Damage. You are responsible for any damage to the equipment, furniture, fixtures, facility and electronics in the studio and the surrounding structure and any damage to the structure itself, whether intentional or accidental, whether by you, your agents, you assignees, successors in interest, guests, licensees, or invitees during your rental.

7. Restricted Use

a. Substances. No alcohol, drugs, intoxicants, or marijuana can be brought to or within the studio, nor consumed within or around the studio and the

surrounding facility during your rental.

b. Occupancy. Your rental includes the admission of up to twelve (12)

people on the premises. Any additional persons must be expressly

approved by Motion Source Studio in writing prior to the shoot.

c. Content. No pornography may be photographed or filmed at the studio.

d. Intellectual Property. You assume full responsibility for any copyright infringement that may result from your use of the studio. You hereby acknowledge that, except as outlined in this agreement, Motion Source Studio has no knowledge or approval of the content of your project and you therefore agree to indemnify, release, and hold harmless Motion Source from any claims of intellectual property infringement, copyright or otherwise, arising from your use of the studio.

e. Smoking. Motion Source Studio does not allow smoking, e-cigarettes, or vaping in the studio or within the surrounding indoor facilities.

f. Activities. No fire or likewise dangerous effects or activities are permitted in the studio or the surrounding facility.

g. Animals. You must notify Motion Source Studio in writing if any animals will be used during the course of your shoot, and the use of such animals must be approved by Motion Source in writing prior to rental. In the event that animals are used, you accept responsibility for any mess or damage created thereby to the studio, the equipment, electronics, fixtures, furniture, or surrounding structure, whether intentional or accidental, including but not limited to defecation and urination.

h. Vehicles. You must notify Motion Source Studio in writing if any vehicles will be used during the course of your shoot, and the use of such vehicles must be approved by Motion Source in writing prior to rental. Due to the inevitable wear caused by vehicles, an additional charge of $100 will be applied to every rental involving the presence of a vehicle on the cyclorama. In the event that vehicles are used, you accept responsibility for any damage created thereby to the studio, the equipment, electronics, fixtures, furniture, or surrounding structure, whether intentional or accidental.

i. Lighting. You may not move any lighting in the grid without approval from Motion Source Studio or the studio manager.

8. Fees.

a. Equipment. Your rental fee is for the studio space only. Any equipment or electronics used by you during the course of your rental must be approved by and agreed to by Motion Source Studio, and will require additional fees.

b. Cleaning Fees. You agree to return the studio space in substantially the same condition in which it was delivered to you. If the studio is left in a messy, dirty, or disorganized state, Motion Source Studio reserves the right to charge additional fees associated with the cleaning of the studio.

c. Paint. If any paint or other writing is left on the cyclorama wall in the studio, you are subject to a fee based on the assessed damage.

d. Vehicle. Should any vehicles leave damage, including but not limited to dents, marks, oil leaks, on the floor of the studio and/or cyc, you are subject to a fee based on the assessed damage.

9. Sub-Rental. You may not sub-rent use of the studio to any third party for any reason.

10. Removal. You, your agents, assignees, invitees, licensees, or guests will be banned from the studio if deemed by Motion Source Studio to be unruly, disrespectful, or suspected of being under the influence of drugs or alcohol.

11. Cancellation. Motion Source Studio reserves the right to cancel the studio rental at any time if your project results in unsafe activity, or is not in agreement with our terms and conditions. If a scheduled shoot is cancelled by the client on the day of production, Motion Source Studio will charge or withhold 100% of the rental fee, regardless of whether or not the shoot is rescheduled. If cancellation occurs within 6 days prior to the scheduled shoot, Motion Source Studio will charge or withhold 50% of the rental fee, regardless of whether or not the shoot is rescheduled.

Cancellations of 7 days in advance, or earlier, will not be subject to any cancellation fees.

12. Equipment Rental Fees. As stated in Section 8), Sub-section (a), any Motion Source Studio equipment rented during the course of your rental must be approved by and agreed to by Motion Source Studio, and will require additional fees. These fees will be billed directly to you following the conclusion of the rental.

13. Security Cameras. You acknowledge, accept, and agree to be recorded by security cameras which Motion Source Studio has installed at the studio and on the surrounding premises.

14. Booking. When your rental is booked, your rental is not confirmed or guaranteed until payment is made. Should another party seek the same rental period, you will have forty-eight (48) hours to make your payment before your booking is forfeited to the other party.

15. Sound. Motion Source Studio has made efforts to keep the studio soundproofed. However, Motion Source Studio is not responsible for any exterior noises that may affect your project, including but not limited to traffic, trains, weather, construction, acts of God, crowds, war, or the like.

16. Indemnification. You agree to indemnify, release, and hold harmless Motion Source Studio, its agents, employees, assignees, or successors in interest from any and all claims, losses, damages, costs, and expenses (including reasonable attorney’s fees), liabilities, judgments, fines, and penalties resulting from any claims, proceedings, or actions arising from, related to, in connection with, or because of any action by you or your agents, whether intentional or negligent, and for any breach or alleged breach by you of any warranty, representation, obligation, or covenant hereof.

17. Applicable Law. This agreement shall be construed according to the laws of the United States of America and specifically the State of Illinois.

18. Notice. You agree to accept any notice required by this agreement via U.S. Mail or e-mail at the address provided in the signature line of this document. Motion Source Studio will accept notice via U.S. Mail at:

19. Jurisdiction and Venue. The undersigned submits to the jurisdiction and venue of the Circuit Court of Cook County, Illinois and waives any objection to the jurisdiction thereof or the appropriateness of same as the venue for any cause of action arising from or related to this agreement.

20. Enforcement. Should Motion Source be required to enforce its rights under this agreement, including but not limited to the collection of past due fees, the undersigned will be responsible for the reasonable costs and fees, including attorney’s fees, associated with the collection, administration, enforcement, or protection of this agreement.

21. Arbitration. Should any dispute arise from this agreement or from the enforcement or administration of this agreement, or otherwise related to the services Motion Source Studio will provide, then both parties agree to forfeit rights to litigation and instead submit to binding third-party arbitration in the State of Illinois, County of Cook.

22.Waiver & Severability. The waiver, breach, invalidity or illegality of any portion of this agreement will not affect the enforceability of the remainder of the agreement or of the agreement as a whole.

23. Merger. This document represents the entire agreement. No other conditions, terms, guarantees or promises whether verbal or written that are not expressly

included herein are excluded from this agreement.

24. Review. You acknowledge that you have read, understood, and do accept these terms and that you have had the opportunity to review the same with legal counsel.
